Termination of Service
You understand and agree that in Audiosocket’s sole discretion it may terminate your access to the Service, for any reason or for no reason, and without prior notice. Audiosocket may cease operation of the Service at any time in its sole discretion without further obligation to you. You understand and agree that violations of these Terms and Conditions of Use, including unauthorized use of the Service, may be investigated and appropriate legal action may be taken, including civil, criminal and injunctive redress. You agree that monetary damages may not provide a sufficient remedy to Audiosocket for violations of this Agreement and you consent to injunctive or other equitable relief for such violations. All provisions of this Agreement which by their nature should survive termination will survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Disclaimer of Warranties
The Service is provided "as is". Audiosocket and its suppliers, advertisers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Audiosocket nor its suppliers and licensors, makes any warranty that the Service will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Service at your own discretion and risk.
Limitation of Liability
In no event will Audiosocket, or its suppliers or licensors, be liable with respect to any subject matter of this Agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; or (iii) for interruption of use or loss or corruption of data. IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE, EXCEED THE AMOUNT PAID BY YOU, IF ANY, IN ACCESSING OR USING THE SERVICE. Audiosocket will have no liability for any failure or delay due to matters beyond its reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.
You agree to indemnify and hold harmless Audiosocket, its contractors, its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of or access to the Service, Content or User Content, including but not limited to claims arising out of (i) your violation of this Agreement or (ii) your violation of any third-party right including any copyright, trademark, trade secret, or privacy right.
